Article 1 — Purpose These Terms & Conditions govern the contractual relationship between OhLàKa Studio and any client (business or individual) engaging its design and growth services: Branding, Website creation, and Marketing (OhLàKa+).
Article 2 — Quotes and orders All services are subject to a prior quote, valid for 30 days. An order is confirmed upon signature of the quote and payment of the deposit defined in Article 4.
Article 3 — Pricing All prices are stated in euros inclusive of tax. OhLàKa Studio is not subject to VAT. Applicable rates are those indicated on the signed quote.
Article 4 — Payment terms A 50% deposit is required upon order confirmation. The balance is due upon final delivery. Payment is accepted by bank transfer or via online payment methods. Late payments will incur penalties equal to 3 times the legal interest rate, applied automatically, plus a fixed recovery fee of €40.
Article 5 — Delivery timelines Indicative timelines are specified in the quote. OhLàKa Studio cannot be held responsible for delays caused by late feedback or approval from the client.
Article 6 — Intellectual property All creations remain the property of OhLàKa Studio until full payment is received. Upon receipt of the final balance, usage rights are transferred to the client as defined in the quote. OhLàKa Studio reserves the right to reference the project in its portfolio for one month following delivery, unless otherwise agreed.
Article 7 — Right of withdrawal (individual clients) In accordance with Article L221-28 of the French Consumer Code, the 14-day right of withdrawal does not apply to services fully performed before the end of the withdrawal period, with the consumer's prior agreement.
Article 8 — Liability OhLàKa Studio commits to deploying all necessary means to deliver services properly. Its liability cannot be engaged in the event of misuse of deliverables by the client.
Article 9 — Disputes In the event of a dispute, an amicable resolution will be sought first. Failing that, individual clients may refer to a consumer mediator free of charge. Business clients fall under the jurisdiction of the courts of Rouen, France.
Article 10 — Governing law These Terms & Conditions are governed by French law.
